1. Scope
All business
relationships between the customer and SSB-Electronic GmbH are
subject exclusively to the most current General Terms and Conditions,
which can be viewed at www.ssb-electronic.de. By placing an order,
the customer accepts these General Terms and Conditions. Any terms
and conditions of business or purchase of the buyer are hereby
expressly rejected. Deviations from these General Terms and
Conditions are only valid if confirmed in writing by the seller. All
information, offers, images, and descriptions in our online offering
or in print media are non-binding. We reserve the right to correct
printing errors, technical changes, and errors at any time and
without prior notice.
2. Customer groups
We sell our products
exclusively to professional retailers and wholesalers, as well as to
industry in the D/A/CH region (Germany, Austria, and Switzerland).
Before processing your initial inquiry, proof of business ownership
must be provided by a trade license or commercial register extract,
or similar. Direct sales to end customers are unfortunately not
possible.
However, end customers have the option of ordering our products through our German distributors

For customers in Austria and Switzerland:

3. Offers and Orders
Please
submit requests for quotations or orders only in writing or by email.
The prices stated in the order confirmation or advance invoice are
binding. The exact shipping costs will be communicated to you
together with the order confirmation or advance invoice, as they vary
depending on the drum size and weight. Our goal is to negotiate
purchase prices on an annual basis and pass this advantage on to you.
This allows you reliable planning security. However, should the price
of raw materials on the global markets develop beyond a foreseeable
level, we reserve the right to charge a raw material surcharge.
However, we strive to avoid this situation.
4. Deliveries
SSB-Electronic
GmbH generally carries out standard deliveries via United Parcel
Service (UPS) (up to 22 kg) or DHL (up to 31.5 kg). If you require a
different shipping method, please inform us in advance. Orders
weighing more than 31.5 kg will be shipped via freight forwarding.
Collection by a freight forwarder commissioned by the customer is
only possible within the European Union and must be notified in
advance. Transfer of goods occurs when the goods are placed in our
restricted warehouse. Invoicing will begin at this time. The length
of the cable on spools is measured and processed with a
system-related tolerance of ± 2% of the total length. By placing an
order, the customer accepts this machine-related tolerance.
Complaints based on this tolerance cannot be accepted. If an item is
not available, we will inform the customer immediately. Delivery
delays caused by delays on the part of our suppliers are not the
responsibility of SSB-Electronic GmbH. SSB-Electronic GmbH reserves
the right to make partial deliveries and to invoice them accordingly.
5. Payment Methods
Various payment methods are available to our customers: Prepayment, invoice, or cash on delivery. New customers and customers outside Germany only receive prepayment. Customers paying by bank transfer will receive the necessary bank details along with the order confirmation. The goods will be shipped immediately upon receipt of payment. This policy does not apply to custom-made items. For regular customers within Germany, we also offer direct debit or invoice payment methods. Please note that all bank fees for payments by bank transfer are your responsibility. Payments by check or other paper-based payment methods cannot be accepted and will be rejected accordingly. We also point out that interest on late payment will be charged in accordance with the German Act on Late Payments (BGB §288) unless otherwise agreed.
6. Terms of Payment
Retention of Title:
The goods remain the property of SSB-Electronic GmbH until full payment has been made. This means that the customer only acquires full ownership of the goods once all payments have been settled.
Payment Term and Due Date:
Payments must be made within the agreed payment term. If the goods are delivered, the payment term begins at this time. For pickup, it begins as soon as the customer is notified that the goods are ready for pickup. The payment term is free of charge and expenses.
Approximation of Terms:
By accepting the goods or service, the customer accepts these terms and conditions.
Default in Payment:
Default occurs no later than 30 days after delivery of the goods if the customer has not paid by that time. No reminders are required to collect payments.
Consequences of Default in Payment:
Loss of Discounts:
If the customer exceeds the payment term, all granted discounts and bonuses will become invalid.
Reminder levels:
Payment reminder: A courteous reminder is issued, without a reminder fee.
1st reminder: A written reminder is due, with a fee of 10.00 € net.
2nd reminder: A further reminder is issued in writing and/or by telephone, with a fee of 18.00 € net.
3rd
reminder:
A reminder notice is requested, with fees determined based on the
effort involved or the fee schedule.
In the event of direct debit chargebacks or refunds due to duplicate transfers, SSB-Electronic GmbH charges an administration and bank fee of 5.00 € net. Transaction fees from abroad are not accepted. If the entire invoice amount is not paid due to these fees, the difference will be subsequently charged.
Furthermore, please note that if invoices are reduced without authorization, the resulting additional costs will be charged to the customer in the form of reminder fees. In this case, the remaining balance will be claimed through all legal authorities.
7. Shipping costs
To
ensure our customers a simple and transparent calculation of shipping
costs, SSB-Electronic GmbH does not separately list additional costs
for logistics, warehousing, or fuel surcharges. These costs are
already included in the stated shipping costs. Shipping costs are
calculated based on weight and volume.
7.1 Goods Insurance / Express Shipping
Insurance: All goods are insured with a net insurance value of 500.00 € as standard.
Higher insurance value: The insurance value can be increased upon request, but for an additional charge.
Express Shipping: Express shipping is also possible, but this shipping cost will be calculated individually.
Ordering
Note: Customers
must indicate when ordering if they require a higher insurance value
or express shipping.
7.1.1 Standard Shipping within Germany
Shipping costs:
Shipping costs are a flat rate of 11.00 € net, plus 4.50 € net for packaging costs per package.
Shipping provider: Shipping is carried out either by DHL (max. 31.5 kg per package) or UPS (max. 22 kg per package). If the package weighs more than 22 kg, it will be declared as bulky goods by UPS and charged according to the shipping costs.
Cash
on Delivery:
Standard cash on delivery shipments are carried out by DHL upon
customer request. Costs for cash on delivery shipments are also 11.00
€
net, plus 4.50 €
net
for packaging costs and the applicable cash on delivery fee per
package.
7.1.2 Standard shipping within the EU, outside Germany
Shipping
of goods within this zone is charged according to EU zone rates and
costs.
7.1.3 Standard Shipping Worldwide, Outside the EU
Shipping of goods within this zone is charged at cost.
7.2 Shipping by Freight
Forwarder
If SSB-Electronic GmbH is the freight carrier (national and
international), deliveries by freight forwarder are generally insured
for the net value of the goods. The applicable insurance costs are
shown separately on the invoice.
7.3 Packaging Ordinance
According
to the provisions of the Packaging Ordinance, we are obligated to
take back packaging for our products that does not bear the label of
a nationwide disposal system (such as the "Green Dot" of
Duales System Deutschland AG) and to ensure its proper disposal.
Reuse or disposal. For detailed information on the
return procedures for affected products, please contact us directly
(phone: +49 (0) 2941-93385-0, email: vertrieb@ssb-electronic.de). We
will be happy to inform you about a municipal collection point or
waste disposal company in your area where you can return the
packaging free of charge. If such a return facility is not available
in your area, you can send the packaging to the following address:

We will
ensure proper reuse or disposal of the packaging in accordance with
the requirements of the Packaging Ordinance.
8. Minimum Order
The minimum
order value is 250.00 €
net. If the minimum order value is not reached, a fee of 25.00 €
net will be charged.
9. Export Conditions and Payment Terms
We export worldwide every day. Payment is only accepted in advance (BIC, SWIFT). For international orders within the European Union, delivery is VAT-free provided we have the customer's valid VAT ID number at the time of ordering. If this number is not provided, VAT cannot be deducted. Complaints due to a missing VAT ID cannot be accepted in this case. SSB-Electronic GmbH reserves the right to subsequently charge import duties, brokerage fees, and country-specific VAT.Upon
request, we can handle the formalities for preparing the export
declaration for our customers. We charge a fee of 15.00 €
net for this service.
For
deliveries via DHL to EFTA countries (Iceland, Liechtenstein, Norway,
and Switzerland), an export fee of 24.00 €
net will be charged.
Important information regarding re-export:
The
re-export of goods to Russia and their use in Russia is contractually
prohibited under Article 12g, Paragraph 1 of Regulation (EU) No.
833/2014. Likewise, the re-export of goods to Belarus and their use
in Belarus is contractually prohibited under Article 8g, Paragraph 1
of Regulation (EC) No. 765/2006. We also urgently point out that the
export of our goods to all countries included on the Federal Foreign
Office's embargo list is also prohibited!

10. Return of Goods
Returns
of goods are generally not accepted. In exceptional cases,
SSB-Electronic GmbH reserves the right to retain or charge a
processing fee of 10% of the value of the goods.
11. Warranty
SSB complies with the statutory provisions. Warranty claims can only be accepted if the goods have been used properly and have not been damaged by improper handling. As part of the warranty claim process, the customer agrees that their personal data will be processed in accordance with the Data Protection Policy.
12. Repairs

Please note:
For
unsolicited repairs, an initial inspection fee of 35.00 €
net will be charged. If the case is covered by the warranty, this
amount will of course be refunded. The product will be examined based
on a flat-rate repair fee of 117.00 €
net. Any additional material costs or additional expenses will be
listed separately. The customer decides whether or not to proceed
with the repair based on the repair cost estimate. We only carry out
repairs if the warranty and functional assurance are expressly
waived. For repairs for which a warranty claim is accepted, there
will of course be no charge. In this case, we ask that you always
include a copy of the purchase receipt.
Please
note that damage caused by overvoltage, lightning strikes, improper
connection, reverse polarity, force, opening the device, or removing
the serial number are generally excluded from the warranty. A
warranty can only be granted for claims that can be clearly
documented and proven. We only accept warranty claims from our direct
contractual partners. In the event of a warranty claim, the product
must be returned to our headquarters, as only there can a complete
inspection and appropriate correction be carried out.
Please
note that our complex mechanical units must be tested before shipping
or installation. If you have any questions about the testing process,
we are happy to assist you.
13. Unsolicited Submissions
SSB-Electronic
GmbH assumes no liability for unsolicited documents, manuscripts,
materials, or equipment. Despite careful handling, no responsibility
can be accepted for damage or loss to submitted materials.
14. Take-back of old electrical devices
In
accordance with the provisions of the Electrical and Electronic
Equipment Act (ElektroG), we are obligated to take back old
electrical devices free of charge. If you wish to take advantage of
this take-back option, you have the option of either dropping off
your old device directly at our premises or conveniently sending it
to us by parcel.

15. Liability
The
customer's claims for damages or reimbursement of wasted expenses
against the seller, regardless of the legal nature of the claim, are
governed exclusively by the provisions of this contract and are to be
asserted outside of warranty law. The seller's liability –
regardless of the legal basis – is excluded unless the damage is
due to intent and/or gross negligence on the part of the seller, its
employees, representatives, or vicarious agents. To the extent that
the seller's liability is excluded or limited, this also applies to
the personal liability of its employees, representatives, or
vicarious agents. The seller's liability under the Product Liability
Act remains unaffected (Section 14 of the Product Liability Act).
Our
products are intended for technically trained customers. We assume a
fundamental knowledge of the product characteristics and the
associated risks. Operating instructions, user manuals, and data
sheets are available for download exclusively on our website. The
seller is liable in accordance with statutory provisions for damages
resulting from injury to life, body, or health and based on an
intentional, grossly negligent, or negligent breach of duty by the
seller or its legal representatives or vicarious agents. If the
seller negligently breaches a material contractual obligation
(cardinal obligation), its liability is limited to the damage
typically incurred, i.e., to damages that can regularly be expected
within the scope of the contract. A material contractual obligation
is one whose fulfillment is necessary for the proper execution of the
contract and on whose compliance the customer can rely.
Given the current state of
technology, data communication via the internet cannot be guaranteed
to be error-free and/or available at all times. The seller therefore
assumes no liability for the continuous or uninterrupted availability
of the website and the services offered there. The seller assumes no
liability or responsibility for the content and data security of
third-party websites to which the seller's internet offerings refer
or to which they link. Since the seller has no influence on
compliance with data protection regulations by third parties, the
customer is asked to separately review the applicable privacy
policies of the respective websites.

16. Place of Jurisdiction
The law of the Federal Republic
of Germany applies. The place of jurisdiction is Lippstadt.
17. Data Storage and Data Protection
The data protection provisions
of the privacy policy on the website www.ssb.de apply exclusively.
18. Final Provision
Should any provision of these General Terms and Conditions be invalid, all other provisions shall remain valid. This means that the invalidity of any provision or part thereof shall not affect the validity of the remaining provisions of these General Terms and Conditions. Deviating purchasing conditions submitted together with or in addition to these General Terms and Conditions shall not apply unless we have expressly agreed to them in writing. Special conditions that conflict with our General Terms and Conditions are only valid if we have expressly acknowledged them in writing.
