General Terms and Conditions (AGB) Many thanks that you choosed SSB-Electronic. On January 2010, SSB-Electronic opened a second location in Lippstadt/Germany. Sales, Marketing and Logistics will operate from this facility. Coverage Between the customer and SSB-Electronic GmbH solely the actual version of this terms applies; it may be accessed at www.ssb-electronic.de. The customer accepts these by placing an order. Confirmation to the contraries by the customer, referring to other terms or conditions of purchase are rejected. Variations of this terms are only effective if confirmed in writing by the seller. Information, offers, pictures and descriptions of our online offers or in print media are not-binding. Misprints, further development and errors excepted. 2. Online Shop Orders in our Shop require a registration. Customers will receive a confirmation by e-mail. Already registered customers are asked to use their e mail address and the received password for identification. Usually an order in our Online- Shop is the fastest and most reliable way to order. Because of the variety of parallel orders, we can’t confirm bindingly all data immediately. On completion of the online order you hence will receive an automatic, unbinding order confirmation. This is solely an information that we received and will check your order. Delivery dates, shipping costs and the resulting total price as well as our bank details will be sent to you separately, mostly within 1-2 weekdays after receipt of an order. 2. Prices Price basis for all products from SSB-Electronic GmbH is the Online Shop. Single price lists cease to apply by these terms. Prices for all groups of customers, as end customers, specialist dealers or wholesalers, will be displayed accordingly after authentification – logging in. Without authentification by the system, end customer prices are displayed, incl. German VAT (19%). These end customer prices are basis for all discounts or dealer’s conditions for all customer groups. Discounts are not granted automatically. Basis for all discounts is the end customers price. For commercial customers it is neccessary to let us have a trade register excerpt. Please direct your request to us in written form or by Fax. If a discount was granted, it will be shown in the shop as well, after the user was identified by log-in and password. SSB-Electronic reserves the right to change prices also at short notice and to pass on changed prices from our suppliers. In that case, the customer shall be entitled to resign from his order within a week. Bindingly are the prices stated in the order confirmation. 4. Offers Offer platform is our Webshop. We will be pleased to submit a separate offer at the individual level to commercial clients. 5. Deliveries In standard cases, SSB-Electronic delivers with United Parcel Service (UPS) within 48 hours and up to 70 kg, after receipt of an order. If you should prefer a different way of delivery, we ask for prior clarification. Orders exceeding 70 kg weight are delivered by a freight-forwarding company. Collection by a forwarding company choosed by the customer can only be accepted within European Community. This has to be announced by the customer in time. Goods which will be collected by customer will be provided into a salvage store at SSB. After this transfer, the invoice will be charged. If an item shouldn’t be available, we will inform you immediately. SSB-Electronic is not liable for delays of delivery because of supplier’s delays. SSB-Electronic is entitled to carry out and to charge partial deliveries any time. 6. Methods of payment The following methods of payment are at your disposal: Advance payment, direct debit, invoice, credit card, Paypal or cash on delivery. New customers and customers outside of Germany are delivered by advance payment. Ways of payment: Direct debit, Paypal, credit card. Customers wishing to pay in advance by bank transfer, will receive our bank data together with the order confirmation. After receipt of payment the goods will be delivered promptly. This statement is not true for custom designs. Regular customers within Germany will be supplied by us per direct debit or invoice. 7. Payment terms The ordered goods remain property of SSB-Electronic, until all receivables are compensated by the customer. Payments have to be made free of costs and charges. These terms are regarded as accepted by the customer by receiving goods or performances at the latest. The term of payment starts with the delivery of the goods. The payment term begins with the delivery of the goods by SSB-Electronic. If goods are available for pickup, the transfer of title and commencement will take place the agreed payment term by informing the customer that the goods are ready for collection. The customer agrees to that with his order. Delay of payment happens if the term of payment is exceeded, at the latest 30 days after delivery of the product. If the term of payment is exceeded, all discounts, boni and concessions expires. A reminder is not compulsory, to exercise legal claims for SSB-Electronic. If the date of required payment was exceeded, the following fees are demanded by us: Payment reminder: Goodwill 1. Overdue notice: Reminder letter, reminder fee 10 € net 2. Overdue notice: Reminder letter and/or telephone call, reminder fee 18 € net 3. Overdue notice: Obtaining of a court order, reminder fee related to effort / reimbursement according to attorneys’ fees. 8. Shipping costs Goods with a net value of 200 € or more are shipped to end customers within Germany free of shipping costs. Deliveries are made exclusively by UPS, as a rule UPS-Standard. Shipping costs are calculated based on the weight of the delivery and its insurable value. Net shipping costs: up to 2 kg: Germany 7,10 €; within the EU 14,90€ up to 10 kg: Germany 8,90 €; within the EU 25,60€ up to 20 kg: Germany 13,20 €; within the EU 34,20€ up to 30 kg: Germany 16,80 €; within the EU 43,90€ up to 40 kg: Germany 21,40 €; within the EU 56,90€ up to 50 kg: Germany 28,00 €; within the EU 71,10€ up to 70 kg: Germany 37,50 €; within the EU on request The shipment to EU border zones may cause additional costs which can be added on the bill. Deliveries to non-EU countries are calculated depending on the necessary effort. Costs are determined and charged individually. Deliveries exceeding 70 kg or bulky goods are sent by a freight-forwarding company. Deliveries by UPS-Express or Expedited are possible also. Costs are determined for each order, and will be listed in the order confirmation. 9. Minimum order value The minimum order value (Net value of the goods) is 20 €. 10. Export We export worldwide on a daily basis. Payment may be made by advance payment, credit card or Paypal. Foreign orders within the EU will be executed VAT-free, if the VAT-ID number has been told by the customer during the order process. Without a VAT-ID number no VAT can be subtracted. Reclamations because of this reason cannot be acknowledged. SSB-Electronic reserves the right to re-calculate import duties, brokerage fees and country specific value added tax sums 11. Return EU customers may return goods within a period of 14 days. The goods have to be in their original packing and able to be resold, without any signs of usage. Refund by SSB-Electronic cannot effect before items have passed our incoming goods inspection. Custom specific items cannot be taken back. SSB-Electronic may charge a compensation for a proper utilization of goods. Repairs, Warranty For our products, we SSB offers a repair service. Please dispatch the product to the following address: SSB-Electronic GmbH, Location Lippstadt - Repairs, Ostenfeldmark 21, 59557 Lippstadt/Germany; Fax: +49 2941-93385-120 We would appreciate if you can enclose a problem-description in detail. The analyzing of the product is based on a cost-estimation fee of 25 Euros. This amount will be charged with commissioning the repair value. Warranty repairs will be free of charge. Please put out such product always a copy of the original receipt. Damage by overvoltage, lightning, reverse polarity, improper access or exposure to severe violence are generally excluded from the warranty. 13. Unsolicited Submissions For unsolicited documents, manuscripts, documents or equipment we can provide a guarantee. If, despite careful handling damage, or loss of the thing, SSB shall be liable thereon. 14. Place of jurisdiction The law of the Federal Republic of Germany applies. Place of fulfillment is Lippstadt/Germany. 15. Final provsisions The fully or partially ineffectiveness of one of the terms and conditions specified above does not effect the remaing terms. In such cases, the Parties will replace the ineffective provisions by effective ones that correspond as far as possible to the intended economic purpose of the provision to be replaced. Other purchase terms that were attached to an order or inquiery are not applicable. Especially terms that conflicts with our general terms and conditions are valid only if confirmed by us explicitely in written form. Lippstadt, February 15th, 2010 |
